Samsung banned AI after a leak
Engineers pasted secret source code into ChatGPT.
In 2023, Samsung engineers pasted confidential source code and internal meeting notes into ChatGPT to get help with their work. Within weeks, Samsung banned generative AI on company devices, worried the information had left and could never be pulled back.
ChatGPT saved chats in the clear
Its Mac app left conversations readable on disk.
In 2024, the ChatGPT app for Mac was found saving people's conversations on the computer as plain, unprotected text, so any other app on the machine could have read them. Protection was only added after a researcher pointed it out.
Amazon warned staff off ChatGPT
It saw the tool echo back its own internal data.
In 2023, an Amazon lawyer warned employees not to share confidential information with ChatGPT, after its answers were seen closely resembling the company's own internal data. Staff were told to keep code and documents out of it.
Italy cut off a new AI in 2025
Regulators pulled it over how it handled personal data.
In early 2025, Italy's privacy regulator ordered the DeepSeek AI service blocked and opened an investigation, citing concerns about how it collected and handled people's personal data. It disappeared from Italian app stores soon after.

1. Scope of This Privacy Policy
This Privacy Policy applies to Secure Chat, including our websites, applications, software, APIs, administrative portals, support services, and related features, collectively, the "Service."
This Privacy Policy does not apply to third-party websites, applications, integrations, or services that we do not own or control. Those services are governed by their own privacy policies and terms.
If you use Secure Chat through your employer, customer, school, managed service provider, reseller, or another organization, that organization may have its own privacy policy, terms, retention practices, and administrative controls that apply to your use of the Service.
2. Important Definitions
- Personal Information. Information that identifies, relates to, describes, can reasonably be associated with, or could reasonably be linked to an identifiable person or household. The meaning of this term may vary under applicable law.
- Customer Content. Messages, files, attachments, contacts, conversations, profile details, workspace configurations, and other content submitted to, transmitted through, stored in, or processed by the Service by or on behalf of a customer or user.
- Customer. The person, company, organization, or other entity that subscribes to or administers a Secure Chat workspace or account.
- User. An individual who accesses or uses the Service, including account owners, administrators, invited users, guests, and end users.
- Administrator. A user or organization representative with permission to configure, manage, monitor, export, retain, or delete data within a workspace or account.
- Service Provider. A vendor, contractor, or third party that processes information for us or for our customers under contractual restrictions.
3. Our Role: Controller, Business, Processor, or Service Provider
Our privacy role depends on the context in which information is processed.
- Customer-controlled workspace data. For Customer Content and user account data inside an organization-managed workspace, MIS Solutions, Inc. generally acts as a service provider, processor, or similar role on behalf of the Customer. The Customer decides why and how that data is processed, subject to the applicable agreement.
- Our own business data. For information we collect to operate our website, manage subscriptions, bill customers, market the Service, communicate with prospects, run security operations, and manage our business, MIS Solutions, Inc. generally acts as a controller, business, or similar role.
- Your organization controls many settings. If your account is organization-managed, your organization may control retention, deletion, exports, access permissions, audit logs, identity management, integrations, and other administrative features.
If a separate data processing agreement, business associate agreement, or similar privacy addendum applies, that document controls to the extent it conflicts with this Privacy Policy for the subject matter it covers.
4. Information We Collect
We collect information in the categories below. The specific information collected depends on how you use the Service, your plan, your settings, your organization settings, and the integrations you enable.
4.1 Information You Provide
- Account information. Name, email address, phone number, username, password or authentication information, profile photo, job title, organization name, workspace name, and user preferences.
- Customer Content. Messages, channels, chats, files, attachments, reactions, mentions, contacts, groups, conversation participants, and other content you choose to submit or transmit through the Service.
- Administrative information. Workspace settings, user roles, permissions, security settings, retention settings, audit configurations, billing contacts, and subscription details.
- Billing and transaction information. Payment method details, billing address, tax information, invoices, receipts, plan selections, transaction history, and subscription records. Payment card information may be processed by our payment processor rather than stored directly by us.
- Support and communications. Support tickets, troubleshooting details, feedback, survey responses, call or meeting details, emails, chat communications with us, and related records.
- Marketing and event information. Contact details, lead information, webinar or event registration, product interests, and communications preferences.
4.2 Information Collected Automatically
- Device and browser information. IP address, device identifiers, browser type, operating system, device type, language settings, and similar technical information.
- Usage information. Pages or features viewed, messages sent, files uploaded, actions taken, time and date of activity, referral URLs, session duration, clicks, and performance data.
- Log and security information. Authentication events, access logs, audit logs, error logs, crash data, security telemetry, suspicious activity signals, and system diagnostics.
- Approximate location. General location derived from IP address or other technical signals. We do not intentionally collect precise geolocation unless disclosed at the point of collection or enabled by your settings.
- Cookies and similar technologies. Cookies, pixels, local storage, SDKs, and similar technologies used to operate, secure, remember preferences, analyze, and improve the Service.
4.3 Information From Third Parties
- Customers and administrators. Your organization or administrator may provide your name, email address, role, group membership, permissions, directory information, or other data needed to create and manage your account.
- Identity and authentication providers. If you sign in using single sign-on or another identity provider, we may receive authentication tokens, email address, name, groups, profile information, and related account attributes.
- Integrations and connected services. If you enable integrations, we may receive information from those services as needed to provide the requested functionality.
- Payment processors. We may receive payment status, transaction identifiers, billing details, fraud signals, and limited payment method information.
- Business partners and public sources. We may receive business contact details, company information, and marketing-related information from partners, lead sources, public websites, or professional directories.
5. Customer Content, Messages, and Metadata
Secure Chat is designed to transmit and store communications and collaboration data. Customer Content may include personal information, business information, confidential information, and other information that users choose to submit.
We process Customer Content to provide, secure, maintain, support, troubleshoot, and improve the Service; comply with law; enforce our agreements; and perform obligations under applicable customer contracts.
Message metadata may include sender, recipient, timestamps, workspace, channel or conversation identifiers, message status, device, IP address, file metadata, and similar operational information. Metadata may be needed to deliver, secure, troubleshoot, retain, search, export, or audit communications.
Administrators may be able to access, review, preserve, export, delete, or restrict Customer Content and related metadata depending on the Customer plan, settings, permissions, and applicable agreements.
Unless expressly stated in a separate written agreement, Secure Chat is not intended for protected health information, payment card data, government classified data, export-controlled technical data, children's data, or other regulated information requiring specialized handling.
6. How We Use Information
- Provide and operate the Service. Create accounts, authenticate users, deliver messages, store files, enable search, manage workspaces, process payments, and provide requested features.
- Secure the Service. Detect, prevent, investigate, and respond to fraud, abuse, malware, spam, unauthorized access, policy violations, security incidents, and technical issues.
- Administer accounts and subscriptions. Manage billing, invoicing, renewals, plan changes, customer communications, user permissions, and support requests.
- Support and troubleshoot. Respond to inquiries, diagnose problems, perform maintenance, improve reliability, and provide customer success services.
- Improve and develop the Service. Analyze usage, performance, reliability, errors, feature adoption, and user feedback to improve existing features and develop new features.
- Communicate with you. Send transactional notices, security alerts, administrative messages, product updates, support responses, billing notices, and marketing communications where permitted.
- Personalize user experience. Remember preferences, display relevant account information, and tailor features based on role, settings, and usage.
- Comply with law and enforce agreements. Meet legal, tax, accounting, compliance, dispute resolution, audit, and contractual obligations.
7. Artificial Intelligence and Automated Processing
The Service may include or later add features that use automation, machine learning, artificial intelligence, or similar technologies, such as search, summarization, routing, security monitoring, spam detection, abuse detection, analytics, or productivity features.
We do not use Customer Content for third-party advertising. We do not use Customer Content to train third-party artificial intelligence models unless you or your organization expressly enable that feature or authorize that use in a separate written agreement.
If AI-enabled features are offered, we may provide additional disclosures, settings, terms, or opt-in controls that explain how the feature works and what data is processed.
8. How We Disclose Information
We disclose information only as described in this Privacy Policy, as directed by the Customer, as necessary to provide the Service, or as otherwise permitted or required by law.
- Customers and administrators. If you use an organization-managed account, Customer Content, account information, usage data, logs, and settings may be disclosed to or accessible by the Customer and its authorized administrators.
- Other users. Information you share in messages, channels, groups, profiles, reactions, files, or collaboration features may be visible to other users according to your settings and workspace permissions.
- Service providers. We disclose information to vendors that provide hosting, infrastructure, security, storage, analytics, payment processing, customer support, communications, email delivery, identity services, logging, monitoring, and other services.
- Integrations. When you connect or use third-party integrations, we disclose information to those services as needed to provide the integration or as directed by you or your organization.
- Professional advisers. We may disclose information to auditors, lawyers, insurers, banks, consultants, and other professional advisers.
- Legal, compliance, and safety. We may disclose information to comply with law, legal process, government requests, court orders, security obligations, or to protect rights, safety, users, customers, third parties, or the Service.
- Business transactions. We may disclose information in connection with a merger, acquisition, financing, corporate transaction, reorganization, bankruptcy, or sale of assets.
- Aggregated or de-identified information. We may disclose information that has been aggregated or de-identified so it does not reasonably identify you, subject to applicable law.
9. No Sale of Customer Content; Advertising
We do not sell Customer Content. We do not use Customer Content for third-party advertising.
We do not sell personal information or share personal information for cross-context behavioral advertising. If our practices change, we will update this Privacy Policy and provide opt-out controls where required by law before those changes apply.
10. Cookies and Similar Technologies
We and our service providers may use cookies, pixels, local storage, SDKs, and similar technologies to operate, secure, analyze, and improve the Service.
- Essential cookies. Used for login, authentication, security, fraud prevention, session management, load balancing, and core Service functionality.
- Preference cookies. Used to remember language, display, notification, and other user preferences.
- Analytics cookies. Used to understand usage, performance, feature adoption, errors, and service reliability.
- Marketing cookies. Not used in campaign measurement or advertising cookies.
You can control cookies through your browser settings. Blocking some cookies may affect Service functionality. Where required by law, we will provide additional cookie consent or preference controls.
If we engage in activities subject to browser-based opt-out requirements, we will honor legally required opt-out preference signals, such as Global Privacy Control, in accordance with applicable law.
11. Legal Bases for Processing for EEA, UK, and Similar Jurisdictions
If privacy laws in the European Economic Area, United Kingdom, Switzerland, or similar jurisdictions apply, we process personal information under one or more legal bases, depending on the context.
- Contract. To provide the Service, create accounts, deliver messages, process payments, administer subscriptions, and perform agreements.
- Legitimate interests. To secure the Service, prevent abuse, improve functionality, support customers, analyze performance, communicate about the Service, and manage our business, where those interests are not overridden by privacy rights.
- Consent. For activities that require consent, such as certain cookies, marketing communications, or optional features.

12. International Data Transfers

Retention periods vary depending on the type of information, Customer settings, account status, plan, legal requirements, backup cycles, and operational needs.
- Customer Content. Retained according to Customer instructions, workspace settings, subscription status, retention policies, deletion requests, and applicable agreements.
- Account information. Retained while your account is active and for a reasonable period after closure for legal, security, audit, tax, accounting, and business purposes.
- Logs and security records. Retained for security, fraud prevention, troubleshooting, compliance, and audit purposes according to our internal retention schedules.
- Backups. Deleted or overwritten according to our backup lifecycle, unless earlier deletion is legally required and technically feasible.
14. Security
We use commercially reasonable administrative, technical, and physical safeguards designed to protect information against unauthorized access, disclosure, alteration, and destruction.
Security measures may include access controls, encryption in transit, authentication controls, logging, monitoring, vulnerability management, vendor review, employee training, backup controls, and incident response processes.
No system, software, network, or transmission method is completely secure. You are responsible for using strong credentials, protecting your devices, managing user permissions, enabling available security features, and promptly notifying us of suspected unauthorized access.
15. Your Choices and Controls
- Account settings. You may be able to update profile details, preferences, notifications, integrations, and security settings through the Service.
- Organization-managed accounts. If your account is managed by an organization, direct access, correction, deletion, export, and retention requests to your organization or administrator unless the Service provides self-service controls.
- Marketing communications. You may opt out of marketing emails by using the unsubscribe link or contacting us. We may still send transactional, security, billing, legal, or administrative messages.
- Cookies. You can manage cookies through browser settings or, where available, our cookie preference tools.
- Integrations. You may be able to disconnect integrations through account settings or by contacting your administrator.
16. Privacy Rights
Depending on where you live and how your information is processed, you may have rights regarding your personal information. These rights may include:
- Accessing or confirming whether we process your personal information;
- Receiving a copy of personal information in a portable format;
- Correcting inaccurate personal information;
- Deleting personal information, subject to exceptions;

If your information is controlled by a Customer, we may forward your request to the Customer, direct you to contact the Customer, or process the request according to the Customer's instructions.

This section applies to California residents to the extent the California Consumer Privacy Act, as amended, applies to our processing of personal information. The categories below describe personal information we may collect, use, and disclose. Not every category applies to every user.
- Identifiers. Name, email address, phone number, username, IP address, account ID, device identifiers, organization name, billing contact details. Recipients: service providers; Customers and administrators; integrations; professional advisers; legal or compliance recipients; business transaction parties.
- Customer records information. Billing address, payment status, transaction records, support records, subscription details, and similar customer account records. Recipients: service providers; payment processors; professional advisers; legal or compliance recipients.
- Commercial information. Subscription plan, purchases, invoices, renewals, product interests, usage of paid features, and transaction history. Recipients: service providers; payment processors; professional advisers; business transaction parties.

- Professional or employment-related information. Job title, company name, department, role, permissions, organization directory details, and business contact information. Recipients: service providers; Customers and administrators; integrations; business partners where applicable.
- Inferences. Preferences, product interests, feature usage patterns, support needs, and account risk signals. Recipients: service providers; Customers and administrators where applicable; business transaction parties.
- Sensitive personal information. Account login credentials, security information, precise content of communications, and any sensitive information users choose to submit in Customer Content. Recipients: service providers; Customers and administrators; other users based on workspace settings; legal or compliance recipients. We do not use sensitive personal information to infer characteristics except as permitted by law.
Sources of personal information include you, your organization, administrators, other users, devices and browsers, identity providers, integrations, payment processors, service providers, business partners, and public sources. Business and commercial purposes include providing the Service, account administration, billing, support, security, fraud prevention, analytics, product improvement, communications, legal compliance, and business operations.
We do not sell Customer Content. We do not sell personal information or share personal information for cross-context behavioral advertising. We do not knowingly sell or share personal information of children under 16.
California residents may have the right to know, access, correct, delete, opt out of sale or sharing, limit certain uses of sensitive personal information, and not be discriminated against for exercising privacy rights. Submit requests by emailing info@mis-solutions.com.
18. Notice for Other U.S. State Residents
Residents of certain U.S. states may have rights under state privacy laws, subject to scope, applicability, exceptions, and verification requirements. If you are a parent, guardian, school, or organization using Secure Chat in a context involving minors, you are responsible for ensuring that your use complies with applicable law and that all required consents, notices, and agreements are in place before using the Service for that purpose.
21. Third-Party Links and Integrations
The Service may contain links to third-party websites or allow you to connect third-party applications and integrations. We are not responsible for the privacy, security, or content practices of third parties. Review their policies before providing information to them or enabling integrations.
22. Do Not Track and Preference Signals
Some browsers transmit "Do Not Track" signals. There is not a uniform industry standard for responding to these signals. We respond to legally required opt-out preference signals where applicable and technically feasible.

End User License Agreement
The terms that govern access to and use of Secure Chat.
Overview
This End User License Agreement, or EULA, governs access to and use of Secure Chat. It defines who may use the platform, what rights are granted, what restrictions apply, and the terms that cover ownership, acceptable use, privacy-related expectations, and limitation of liability.
Acceptance of terms
By accessing, using, or registering for Secure Chat, the user and the organization they represent agree to be bound by this EULA and any related policies, including the Privacy Policy, the Acceptable Use Policy, and any order forms, subscription agreements, or service terms that apply. If a user does not agree to these terms, they should not use the service.
License grant
Secure Chat grants each subscribing organization a limited, non-exclusive, non-transferable, revocable license to access and use the platform during the subscription term for internal business purposes only. The customer is licensing access to the service, not buying ownership of the platform. The license is tied to the number of seats, organization, or plan purchased.
Permitted use
Secure Chat may be used for internal business work such as drafting, summarizing, analyzing documents, querying company knowledge, asking questions about connected systems, generating reports, automating recurring tasks, and other approved business activities. Secure Chat is a governed business tool, not a consumer chatbot.
Prohibited use
You may not use Secure Chat for any purpose that is unlawful, harmful, abusive, or fraudulent, or that compromises the platform, the organization, or third parties. You may not reverse engineer the service, bypass security controls, interfere with access management, misuse connected systems, attempt unauthorized data extraction, introduce malware, or violate confidentiality obligations. In plain terms, use may not involve illegal activity, unauthorized access, data theft, security circumvention, harmful content, malicious code, or misuse of another person's account or credentials.
User responsibilities
Users are responsible for the content they submit, the accuracy of any instructions they provide, and their compliance with the organization's policies. Users are responsible for reviewing outputs before relying on them, especially when output is used for business decisions, communications, compliance work, or customer-facing material.
Account security and access control
Access is controlled through the organization's identity system, such as Microsoft Entra ID. Users must protect their credentials, follow their organization's security policies, and report unauthorized access or suspected compromise. The organization is responsible for managing user access, provisioning, offboarding, and permissions.
Customer content and ownership
The customer retains ownership of its own content, including prompts, uploads, connected data, and outputs where allowed by law and by the underlying agreements. Secure Chat retains ownership of the platform itself, including its software, designs, workflows, interfaces, documentation, branding, and underlying technology.
AI output
AI-generated content may be inaccurate, incomplete, or unsuitable for a specific purpose. Secure Chat does not guarantee that every answer is correct, and customers should verify results before use.
Third-party model providers
Secure Chat routes requests across multiple AI model providers, so some functionality depends on third-party services. Those services are used to provide the platform and may be subject to their own terms, but customer data is not used to train those models.
Service changes
Secure Chat may modify, update, or discontinue features when needed for security, legal, operational, or product reasons. The product may improve over time, and not every feature is guaranteed to remain in its exact current form.
Suspension and termination
Access may be suspended or terminated if a user or organization violates this EULA, fails to pay, misuses the platform, compromises security, or creates risk for Secure Chat or its customers. After termination, account closure, data export, and deletion follow the contract terms and retention requirements.
Disclaimer of warranties
Secure Chat is provided subject to the applicable service terms. Except where expressly promised in writing, the platform is provided without warranties beyond what the contract states.
Limitation of liability
To the extent permitted by law, Secure Chat is not liable for indirect, incidental, consequential, or punitive damages. The customer is responsible for how it uses the output and the business decisions made with it.
Governing law and dispute resolution
Use of Secure Chat is governed by the law and dispute-resolution terms specified in the applicable agreement.
Entire agreement
The order form, subscription terms, Privacy Policy, Acceptable Use Policy, and any addenda together form the complete agreement governing use of Secure Chat.

These Terms of Service, together with any applicable order form, subscription terms, service documentation, acceptable use rules, privacy policy, data processing agreement, business associate agreement, or other written agreement that references these Terms, collectively form the "Terms."
These Terms govern your access to and use of Secure Chat, including our websites, applications, software, APIs, messaging tools, administrative tools, support services, and related services, collectively, the "Service."
By creating an account, clicking "I agree," signing up for the Service, accessing the Service, or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to both you and that entity.
1. Eligibility
You may use the Service only if:
- You are at least 18 years old or the age of majority in your jurisdiction;
- You can form a legally binding contract;
- You are not prohibited from using the Service under applicable law;
- You are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable sanctions or embargoes that prohibit use of the Service.
You may not use the Service if we previously terminated or suspended your account for cause unless we provide written permission.
2. The Service
Secure Chat is a software platform that enables users and organizations to communicate, exchange messages, share files, manage conversations, and use related collaboration and security features.
We may modify, update, improve, suspend, or discontinue parts of the Service from time to time. We will use commercially reasonable efforts to provide notice of material changes that negatively affect paid subscriptions, unless urgent changes are required for security, legal, compliance, or operational reasons.
The Service is not intended for emergency communications. Do not use Secure Chat to contact emergency services, law enforcement, medical providers, or other time-sensitive emergency response resources.
3. Account Registration and Security
To use the Service, you may need to create an account. You agree to:
- Provide accurate, current, and complete registration information;
- Keep your account information updated;
- Maintain the confidentiality of your login credentials;
- Use strong passwords and available security controls;
- Promptly notify us of unauthorized access or suspected compromise.
You are responsible for all activity that occurs under your account, except to the extent caused by our breach of these Terms.
We may require multi-factor authentication, security verification, or additional account controls for certain users, plans, or administrative functions.
4. Organizations, Administrators, and Managed Accounts
If your account is created or managed by an employer, customer, organization, managed service provider, reseller, or administrator, that organization may control certain aspects of your account and workspace.
Depending on the configuration of the Service, administrators may be able to:
- Add, suspend, or remove users;
- Manage security settings;
- Access audit logs and usage information;
- Configure retention, deletion, export, and backup settings;
- Access, review, preserve, export, or delete messages, files, and other content associated with the organization's workspace.
If you use an organization-managed account, your use may also be subject to your organization's internal policies and agreements.
5. License to Use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the applicable subscription term solely for your internal business or personal use, as applicable.
You may not:
- Copy, modify, reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except where prohibited by law;
- Sell, resell, rent, lease, sublicense, or commercially exploit the Service except as expressly authorized in writing;
- Use the Service to build or benchmark a competing product or service;
- Circumvent usage limits, security controls, authentication controls, or access restrictions;
- Use bots, scrapers, crawlers, or automated systems except as expressly permitted by us;
- Interfere with or disrupt the Service or related systems;
- Use the Service in violation of applicable law or these Terms.
6. Customer Content
"Customer Content" means messages, files, attachments, text, images, data, metadata, contacts, configurations, and other materials submitted to, transmitted through, stored in, or processed by the Service by or on behalf of you or your users.
You retain ownership of your Customer Content. These Terms do not transfer ownership of your Customer Content to us.
You grant us a limited license to host, store, transmit, process, display, reproduce, back up, secure, analyze, and otherwise use Customer Content solely as necessary to:
- Provide, maintain, support, and improve the Service;
- Prevent or address security, abuse, fraud, or technical issues;
- Comply with applicable law;
- Enforce these Terms;
- Perform obligations described in an applicable order form, data processing agreement, business associate agreement, or other written agreement.
We will not sell Customer Content. We will not use Customer Content for third-party advertising.
We will not use Customer Content to train artificial intelligence or machine learning models unless you expressly authorize us in writing.
You are responsible for Customer Content and for ensuring that you have all rights, consents, permissions, and legal bases necessary to submit Customer Content to the Service.
7. Sensitive and Regulated Data
Unless expressly permitted in a separate written agreement, you may not submit, transmit, store, or process through the Service:
- Protected health information regulated by HIPAA;
- Payment card data regulated by PCI DSS;
- Nonpublic personal information regulated by GLBA;
- Criminal justice information;
- Export-controlled technical data;
- Children's personal information;
- Government-classified, controlled unclassified, or similarly restricted information;
- Any other data requiring specialized legal, regulatory, contractual, or security obligations.
If Secure Chat is intended to handle regulated data for your account, the parties must first execute any required written addendum, such as a Business Associate Agreement, Data Processing Agreement, Security Addendum, or other compliance-specific agreement.
8. Privacy
Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy.
By using the Service, you acknowledge that we process personal information as described in the Privacy Policy and any applicable data processing agreement.
If there is a conflict between these Terms and a signed data processing agreement or business associate agreement, the signed data processing agreement or business associate agreement will control for the specific subject matter it covers.
9. Security
We use commercially reasonable administrative, technical, and physical safeguards designed to protect the Service and Customer Content.
However, no software, network, system, or method of transmission is completely secure. We do not guarantee that the Service will be uninterrupted, error-free, immune from unauthorized access, or free from vulnerabilities.
You are responsible for:
- Securing your devices, networks, and credentials;
- Managing user access and permissions;
- Enabling available security features appropriate for your use case;
- Promptly removing users who should no longer have access;
- Maintaining your own backup copies where appropriate;
- Reviewing your organization's retention, export, and deletion settings.
We may investigate suspected security incidents, abuse, or unauthorized use of the Service. We may suspend access where reasonably necessary to protect the Service, customers, users, or third parties.
10. Acceptable Use
You may not use the Service to:
- Violate any law, regulation, contract, intellectual property right, privacy right, or other third-party right;
- Send spam, phishing messages, malware, malicious code, or deceptive communications;
- Harass, threaten, abuse, defame, exploit, or harm others;
- Transmit unlawful, harmful, fraudulent, obscene, or abusive content;
- Upload or distribute viruses, worms, ransomware, spyware, or other harmful code;
- Attempt unauthorized access to systems, accounts, data, or networks;
- Probe, scan, or test the vulnerability of systems without authorization;
- Interfere with or degrade the Service;
- Circumvent rate limits, security controls, or authentication measures;
- Impersonate another person or misrepresent your affiliation;
- Collect or harvest personal information without authorization;
- Use the Service for surveillance, stalking, or unlawful monitoring;
- Use the Service to develop, distribute, or facilitate cyber abuse;
- Upload content that infringes intellectual property rights;
- Transmit child sexual abuse material or exploitative content of any kind.
We may remove content, disable accounts, suspend access, or report activity to appropriate authorities where we believe use of the Service violates these Terms, applicable law, or creates risk to us, users, customers, or third parties.
11. Third-Party Services and Integrations
The Service may allow you to connect to third-party applications, services, identity providers, storage systems, APIs, or integrations.
Third-party services are not controlled by us. Your use of third-party services may be governed by separate terms and privacy policies. We are not responsible for third-party services, including their availability, security, performance, data handling, or support.
If you enable an integration, you authorize us to exchange data with that integration as necessary to provide the requested functionality.
12. Software, Updates, and APIs
We may provide downloadable software, mobile applications, desktop applications, browser extensions, APIs, SDKs, or other components.
You agree to install updates as reasonably necessary for security, compatibility, and performance. Some updates may be automatic.
If we provide APIs, you may use them only in accordance with our documentation, rate limits, security requirements, and written policies. We may limit, suspend, or revoke API access for security, operational, legal, or abuse-prevention reasons.
13. Beta Features
We may offer beta, preview, experimental, trial, or early-access features. Beta features are provided for evaluation only and may be changed, suspended, or discontinued at any time.
Beta features may be incomplete, unstable, or less secure than generally available features. They are provided "as is" and without any service level commitment, warranty, or support obligation unless expressly stated in writing.
14. Fees, Billing, Renewals, and Taxes
Some parts of the Service may require payment. Fees, billing frequency, subscription term, usage limits, and included features will be described at checkout, in an order form, or in your account portal.
You authorize us or our payment processor to charge applicable fees, taxes, and other amounts using your selected payment method.
Unless otherwise stated:
- Subscription fees are charged in advance;
- Subscriptions automatically renew for successive terms;
- You may cancel renewal through your account settings or by contacting us at info@mis-solutions.com;
- Cancellation takes effect at the end of the then-current billing period;
- Fees are non-refundable except where required by law or expressly stated in writing;
- We may suspend or terminate access for nonpayment.
You are responsible for applicable taxes, duties, levies, and similar assessments, excluding taxes based on our net income.
We may change pricing or plan features. For paid subscriptions, we will provide reasonable notice before changes apply to a renewal term, unless the change is favorable to you or required by law.
15. Trials and Promotions
We may offer free trials, promotional credits, or discounted subscriptions. Trial and promotional terms may be subject to additional conditions.
Unless otherwise stated, trials are provided once per customer or organization. We may modify or terminate trials and promotions at any time.
At the end of a trial, your subscription may convert to a paid plan if you provided payment information and authorized recurring billing. We will disclose applicable trial conversion terms during signup or checkout.
16. Suspension and Termination
You may stop using the Service at any time. You may cancel your subscription through your account settings or by contacting us at info@mis-solutions.com.
We may suspend or terminate your access to the Service if:
- You breach these Terms;
- You fail to pay fees when due;
- Your use creates a security, legal, operational, or reputational risk;
- We are required to do so by law or court order;
- Your account is inactive for an extended period;
- Continued provision of the Service becomes impractical, unlawful, or commercially unreasonable.
Where reasonable, we will provide notice and an opportunity to cure before suspension or termination. However, we may act immediately where necessary to protect the Service, users, customers, third parties, or us.
Upon termination:
- Your right to use the Service ends;
- You must stop using the Service;
- We may disable access to your account;
- We may delete Customer Content after 90 days unless legally required or contractually obligated to retain it;
- Certain provisions of these Terms will survive, including payment obligations, intellectual property rights, confidentiality, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
17. Data Export and Deletion
During the subscription term, you may be able to export certain Customer Content through available Service features.
After termination or expiration, we may provide limited access for data export for 10 days, unless your account was terminated for legal, security, or abuse-related reasons.
After the applicable export period, we may delete or anonymize Customer Content according to our retention policies, backup practices, and legal obligations.
Deletion from active systems may not immediately remove Customer Content from backups, logs, archives, or disaster recovery systems. Backup deletion will occur according to our standard backup lifecycle unless earlier deletion is legally required and technically feasible.
18. Support and Service Levels
Support is provided according to your plan, order form, or support policy.
Unless we expressly agree to a separate service level agreement, we do not guarantee uptime, response times, resolution times, or availability.
We may perform maintenance, updates, or emergency repairs that temporarily affect availability. Where practical, we will provide advance notice of scheduled maintenance.
19. Intellectual Property
We and our licensors own all rights, title, and interest in and to the Service, including software, source code, object code, designs, interfaces, workflows, documentation, trademarks, service marks, trade names, logos, templates, algorithms, know-how, and all related intellectual property rights.
Except for the limited license granted in these Terms, no rights are granted to you by implication, waiver, estoppel, or otherwise.
You may submit suggestions, ideas, feedback, or recommendations regarding the Service. You grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation to you.
20. Confidentiality
Each party may receive confidential or proprietary information from the other party. "Confidential Information" means information that is marked confidential or should reasonably be understood to be confidential given its nature and the circumstances of disclosure.
Confidential Information does not include information that:
- Is or becomes publicly available without breach of these Terms;
- Was lawfully known before disclosure;
- Is lawfully received from a third party without confidentiality restrictions;
- Is independently developed without use of the other party's Confidential Information.
Each party agrees to:
- Use Confidential Information only to perform under these Terms;
- Protect Confidential Information using reasonable care;
- Disclose Confidential Information only to personnel, contractors, advisors, or service providers who need to know it and are bound by confidentiality obligations;
- Not disclose Confidential Information to third parties except as permitted by these Terms or required by law.
If disclosure is required by law, the receiving party will provide prompt notice where legally permitted and reasonably cooperate to limit disclosure.
21. Copyright Complaints
If you believe content available through the Service infringes your copyright, you may submit a notice to:

We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.
22. Compliance With Laws
You agree to comply with all applicable laws and regulations, including laws related to privacy, data protection, cybersecurity, electronic communications, export controls, sanctions, anti-corruption, intellectual property, and consumer protection.
You are responsible for determining whether the Service is appropriate for your intended use and whether your use complies with applicable legal, regulatory, contractual, and industry requirements.
23. Export Controls and Sanctions
You may not use, export, re-export, import, sell, transfer, or provide access to the Service except as authorized by applicable export control and sanctions laws.
You represent that you are not:
- Located in a country or territory subject to applicable comprehensive sanctions;
- Listed on any applicable restricted party list;
- Owned or controlled by a restricted party;
- Using the Service for prohibited end uses, including unlawful surveillance, weapons development, or other restricted activities.
24. No Professional Advice
The Service may include technical, administrative, or security-related information. Such information is provided for general informational purposes only and does not constitute legal, regulatory, compliance, medical, financial, or professional advice.
You are responsible for obtaining professional advice appropriate to your specific circumstances.
25. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and error-free operation.
We do not warrant that:
- The Service will meet your requirements;
- The Service will be uninterrupted, secure, timely, or error-free;
- Customer Content will be preserved or recoverable;
- The Service will detect or prevent all threats, unauthorized access, data loss, or misuse;
- Defects or vulnerabilities will be corrected within any specific time period;
- The Service will comply with laws or regulations applicable to your specific industry or use case unless expressly stated in a separate written agreement.
Some jurisdictions do not allow certain disclaimers, so some of the above disclaimers may not apply to you.
26. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, including damages for lost profits, lost revenue, lost business, lost goodwill, lost data, business interruption, security incidents, system failure, or cost of substitute services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability arising out of or related to these Terms or the Service will not exceed the greater of:
- The amounts paid by you to us for the Service during the twelve months before the event giving rise to liability; or
- $100.
The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise.
Nothing in these Terms limits liability that cannot be limited under applicable law.
27. Indemnification
You agree to defend, indemnify, and hold harmless MIS Solutions, Inc, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Service;
- Customer Content;
- Your breach of these Terms;
- Your violation of applicable law;
- Your violation of third-party rights;
- Your users' acts or omissions.
We may control the defense of any matter subject to indemnification. You may not settle any claim without our prior written consent if the settlement imposes obligations or liability on us.
28. Dispute Resolution
Before filing a claim, each party agrees to try to resolve the dispute informally. The party raising the dispute must send written notice describing the dispute and requested resolution to the other party.

The parties will attempt in good faith to resolve the dispute for at least 30 days after notice is received.
Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
Venue
Subject to the arbitration provision below, the state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Service. Each party consents to personal jurisdiction and venue in those courts.
Optional Arbitration Clause
Any dispute arising out of or related to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules.
The arbitration will take place in Gwinnett County, Georgia, unless the parties agree otherwise. The arbitration will be conducted in English by one arbitrator.
Either party may bring an individual claim in small claims court if the claim qualifies.
The parties waive any right to a jury trial and agree that claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.
You may opt out of arbitration by sending written notice to info@mis-solutions.com within 30 days after first accepting these Terms.
29. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will provide notice by email, in-product notice, posting within the Service, or another reasonable method. The updated Terms will become effective on the date stated in the notice.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
We will not retroactively make material changes to how we use Customer Content or personal information without providing notice and obtaining consent where required by law.
If you do not agree to updated Terms, you must stop using the Service and cancel your subscription.
30. Notices
We may provide notices to you by email, in-product message, account portal, posting on our website, or other reasonable method.
You are responsible for keeping your account contact information current.
Notices are deemed given when sent, posted, or made available through the Service.
31. Assignment
You may not assign or transfer these Terms without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or transfer of the Service to another provider.
Any attempted assignment in violation of this section is void.
32. Force Majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, internet or telecommunications failures, cloud provider outages, power failures, cyberattacks, government actions, civil unrest, pandemics, or other events beyond our reasonable control.
33. Relationship of the Parties
The parties are independent contractors. These Terms do not create a partnership, joint venture, employment relationship, agency relationship, franchise, or fiduciary relationship.
Neither party has authority to bind the other except as expressly stated in writing.
34. Severability
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in full force and effect.
35. Waiver
Failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
A waiver must be in writing and signed by the party granting the waiver.
36. Entire Agreement
These Terms are the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications regarding the Service.
If there is a conflict between these Terms and an order form signed by both parties, the signed order form controls for that order.
